Please read these Terms of Service (“Terms”) carefully before using the Briefed website and services (“Service”) operated by Briefed (“we”, “our”, or “us”). By accessing or using the Service, you agree to be bound by these Terms.

1. Service Description

Briefed is a financial data and research tool that aggregates publicly available information from sources including SEC EDGAR and Yahoo Finance, and uses AI to generate analytical summaries, valuation models, and financial briefings for publicly traded companies.

The Service is not a financial advisor, broker-dealer, or investment advisor. Nothing on the Service constitutes investment advice, a solicitation, or a recommendation to buy, sell, or hold any security. All content is provided for informational and educational purposes only. You should always conduct your own research and consult a qualified financial professional before making any investment decision.

2. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service to engage in any activity that violates applicable laws or regulations, including securities laws.
• Attempt to gain unauthorized access to any part of the Service or its related systems.
• Scrape, crawl, or extract data from the Service in bulk without our prior written consent.
• Reproduce, distribute, or resell output from the Service for commercial purposes without authorization.
• Use the Service to transmit spam, malware, or any harmful or disruptive content.
• Attempt to reverse-engineer, decompile, or disassemble any part of the Service.
• Impersonate another person or entity, or provide false information to create an account.

We reserve the right to suspend or terminate accounts that violate these terms at our sole discretion.

3. Free and Paid Tiers

The Service is offered on a freemium basis:

• Free tier. Free accounts may generate up to 15 company briefings per day. Free tier access is subject to fair-use limits and may be modified at any time with reasonable notice.
• Paid tier. Paid subscriptions provide unlimited briefings, access to advanced features (DCF export, pitch deck generation, peer comparables), and priority processing. Pricing is as listed on our pricing page at the time of purchase.

We reserve the right to change pricing, features, or tier limits at any time. We will provide at least 30 days' notice before increasing prices for active paid subscribers.

4. Billing and Cancellation

Paid subscriptions are billed on a recurring monthly or annual basis, depending on the plan you select. Payment processing is handled by Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period, and you retain access to paid features until that date. Subscription fees are generally non-refundable; exceptions (including billing errors and rights required by law) are described in our Refund & Cancellation Policy.

If you believe you have been charged in error, contact us at briefed.software@gmail.com before disputing a charge with your bank or card issuer, and within 30 days of the charge—we will investigate promptly. For full refund terms, see our Refund Policy.

5. Intellectual Property

The Service, including its design, software, AI models, and original content, is owned by Briefed and protected by applicable intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written permission.

Financial data sourced from SEC EDGAR is in the public domain. Market data sourced from Yahoo Finance is subject to Yahoo's terms of use. AI-generated summaries and models are produced by Briefed for your personal, non-commercial use.

6. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free.
• Financial data, valuations, or AI-generated analysis will be accurate, complete, or current.
• Results obtained from the Service will be reliable or suitable for any particular purpose.

Financial data sourced from SEC EDGAR and Yahoo Finance may contain errors, delays, or omissions. You should independently verify any data before relying on it for investment decisions.

7. Limitation of Liability

To the fullest extent permitted by law, Briefed and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, or investment losses, arising out of or in connection with your use of the Service or reliance on any financial data or AI-generated content, even if we have been advised of the possibility of such damages.

Our total liability to you for any claims arising from these Terms or the Service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) $50 USD.

8. Indemnification

You agree to indemnify and hold harmless Briefed and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

9. Changes to the Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Delaware.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the effective date. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.
